van Berings with Rubiera Special Steel in the takeover of the Cividate Steel Mill out of ACP Industries’ Bankruptcy

Rubiera Special Steel (“RSS”), international leader in the production of special steel, belonging to the Italian Special Materials & Forgings Group (“ISM&F”), has acquired the Steel Mill of Cividate al Piano (Italy – BG).

The integration of the Steel Mill of Cividate al Piano with RSS’ production site located in Casalgrande (Italy – RE) is part of a long-term development project that will allow RSS to expand its offering and production capability, by continuing to focus on high-end products aimed, in particular, at the aerospace, nuclear, petrochemical, and energy industries.

The acquisition has been completed in the context of the auction called by the bankruptcy receiver of ACP Industries SpA, which went bankrupt in 2022 and owned the production site. In 2013, RSS itself had been acquired by the ISM&F Group in the context of an insolvency procedure.

It is expected that the takeover by RSS and the investments planned for the future will have a positive impact to the benefit of the community, both from an occupational and economic perspective, as well as from an environmental standpoint.

In the context of the transaction, RSS and the ISM&F Group have been assisted by van Berings with a Team composed of Partner Francesco Adami and associates Gianluca Volpato, for all contractual and corporate aspects, and Alessandro Fabbriciani, for all bankruptcy-related aspects.

van Berings thus strengthens its long-standing cooperation with the ISM&F Group, as well as its Distressed M&A positioning.

Rubiera Special Steel (“RSS”), società del Gruppo Italian Special Materials & Forgings (“ISM&F”) e leader internazionale nel settore della produzione di acciai speciali, ha perfezionato l’acquisizione del sito produttivo dell’Acciaieria di Cividate al Piano (BG).

L’integrazione del sito produttivo dell’Acciaieria di Cividate al Piano con quello di RSS a Casalgrande (RE) si inserisce in un più ampio progetto di sviluppo a lungo termine che permetterà a RSS di ampliare l’offerta e la capacità produttiva, mantenendo il focus su prodotti di alta gamma dedicati in particolare ai settori aerospaziale, nucleare, petrolchimico e dell’energia.

L’acquisizione è stata perfezionata nel contesto della procedura competitiva indetta dalla curatela di ACP Industries SpA, fallita nel 2022 e proprietaria del sito produttivo. Nel 2013, RSS era stata a sua volta acquisita dal Gruppo ISM&F nell’ambito di una procedura concorsuale.

Si prevede che l’ingresso di RSS e gli investimenti pianificati per il futuro possano produrre esternalità positive per il territorio, sia dal punto di vista occupazionale e dell’indotto, sia dal punto di vista ambientale.

Nell’operazione RSS e il gruppo ISM&F sono stati assistiti da van Berings con un Team composto dal Partner Francesco Adami e dagli Associate Gianluca Volpato, per gli aspetti contrattualistici e di diritto societario, e Alessandro Fabbriciani, per gli aspetti di diritto concorsuale.
