​Francesco Adami (1963) joined Van Berings as a Partner in 2017, after having been Partner at Palmer (Milan, 2006-2017) and Local Partner at Baker McKenzie (Milan, 1991-2006).

Corporate & Securities Law

Francesco Adami regularly represents domestic and multinational acquirers, targets and private equity funds in a large number of mergers, acquisitions, takeovers (negotiated and contested), leveraged buyouts, spin-offs and joint ventures. He also counsels clients on a broad range of corporate and business-related matters, including directors’ duties and responsibilities and other aspects of corporate governance, disclosure issues and corporate compliance matters.

Strategic Sourcing & Commercial Contracts

Francesco Adami also combines sector knowledge and technical expertise to assist domestic and international Clients in negotiating a wide array of commercial contracts helping them to manage their existing or future commercial relationships, including logistics outsourcing agreement, private and public procurement, general T&Cs, distribution, commercial agency, marketing & franchising arrangements, manufacturing agreements, IP-license agreements, e-commerce, digital marketing & digital advertising, development & collaboration agreements, sponsorship, entertainment & events production.

Employment Law

Francesco Adami regularly advises domestic and international employers on sophisticated employment matters and has extensive experience in assisting Clients to conduct internal investigations, create compensation programs, negotiate employment and separation agreements, develop and prepare employee policy manuals, codes of conduct and shop disciplinary codes, negotiate secondary collective bargaining agreements and shop agreements, plan and implement collective dismissal procedures.

He has broad experience in steering clients through major business reorganizations and advising on the design and implementation of M&A, insolvency or outsourcing related redundancy programs.
