Francesco Ilari has extensive experience in a wide range of commercial and business law-related litigation, typically arising from debt and equity investments, financing agreements, technology licenses and franchises, distributorship contracts and other significant arrangements.

He represents domestic and international clients in a wide array of shareholder and investor disputes, post-acquisition litigation, breaches of major and complex contracts, securities litigation, trading disputes and sophisticated product liability claims, mainly in the Life Science, Automotive and White Goods sectors .

Francesco Ilari routinely assists our activist Clients in a range of matters, including enforcing shareholder rights to compel special and annual meetings, obtaining corporate records, obtaining shareholder lists, and challenging defensive manoeuvres, in shareholder rights plans, and by-laws including poison pills and advance notice requirements. He also represent shareholders in asserting derivative claims to challenge board conduct.

He also assists high stake investors in construction dispute resolution and litigation, including delay, construction defect, change order and lien foreclosure claims, as well as issues regarding mistakes, concealed conditions, bid challenges and design professional malpractice.

Intellectual Property Litigation

Francesco Ilari has broad experience in assisting clients in protecting their intellectual property rights, including matters involving the commencement of trademark infringement, trademark counterfeiting and copyright litigation, the development and implementation of domestic and international anti-counterfeiting programs, the investigation of infringing or counterfeiting activities, trademark prosecution, licensing, manufacturing compliance and product security issues.

Strategic Sources and Commercial Contracts

Francesco Ilari also combines sector knowledge and technical expertise to assist domestic and international Clients in negotiating a wide array of commercial contracts helping them to manage their existing or future commercial relationships, including general T&Cs, distribution, commercial agency, marketing & franchising arrangements, manufacturing agreements and IP-license agreements.
